About the Job :
Vaish Associates Advocates is seeking a highly motivated and skilled Associate with 2–3 years of relevant post-qualification experience to join their Corporate Restructuring and Private Client Practice in New Delhi.
Eligibility :
(i) The ideal candidate will have strong experience in corporate restructuring assignments, including schemes of arrangement and amalgamation before the NCLT, stamp duty advisory, succession planning and general corporate advisory matters.
(ii) The role requires excellent drafting skills, strong legal acumen, and the ability to manage multiple assignments efficiently.
(iii) LL.B. from a reputed institution
(iv) Additional desirable qualification: Company Secretary (CS)
(v) Strong understanding of corporate law, restructuring processes, and stamp duty matters
(vi) Excellent drafting and documentation skills
(vii) Excellent communication and interpersonal skills
Responsibility :
(i) Manage and execute corporate restructuring assignments, including mergers, demergers, and schemes of arrangement before the NCLT
(ii) Advise on stamp duty implications in relation to restructuring transactions, business transfers, and corporate arrangements
(iii) Draft, review, and finalize schemes of arrangement, petitions, applications, affidavits, and related documentation
(iv) Provide general corporate advisory support, including corporate governance, regulatory compliance, and transaction structuring
(v) Conduct legal research and analysis in support of restructuring, stamp duty, and corporate advisory assignments
(vi) Coordinate with clients, regulators, and stakeholders for smooth implementation of restructuring schemes
(vii) Liaise with stamp authorities, regulators, and other stakeholders, as required
(viii) Ensure regulatory compliance and timely execution of assignments
(ix) Collaborate with internal teams for seamless transaction execution
